1. Agreement to Terms

These Terms of Service ("Terms") are a binding agreement between you and Install Agent LLC ("Install Agent," "we," "us," or "our") and govern your access to and use of our website at installagent.com, our communications (including SMS notifications), and any related tools, content, and services we make available (collectively, the "Services"). By accessing or using the Services, booking a discovery call, or opting into our communications, you agree to these Terms. If you do not agree, do not use the Services.

2. Who We Are and What We Do

Install Agent deploys internal AI infrastructure and automation for business owners and operators, designed to reduce administrative and operational work without adding headcount. A typical engagement includes a structured onsite deployment that may cover:

• Discovery, planning, and scoping of automation opportunities
• Installation and configuration of AI systems within your existing tools
• Integration with platforms such as email, calendar, CRM, and messaging services
• Communication, scheduling, and knowledge workflows (including AI assistants trained on your standard operating procedures)
• Team training, documentation, and a defined period of ongoing support

3. Website Terms vs. Engagement Agreement

These Terms govern your use of our website and general communications. Any paid deployment, subscription, or support relationship is governed by a separate written services agreement, statement of work, or order form between Install Agent and the client (the "Engagement Agreement"). If anything in these Terms conflicts with a signed Engagement Agreement, the Engagement Agreement controls for that engagement. Nothing on our website constitutes an offer that is binding until a corresponding Engagement Agreement is executed.

4. Eligibility

The Services are intended for business use by individuals who are at least 18 years old and located in the United States, and who have authority to act on behalf of the business they represent. By using the Services, you represent that you meet these requirements.

5. Discovery Calls and Inquiries

You may request a discovery call or submit an inquiry through our website. Booking a call or submitting a form creates no obligation on either party to enter into a paid engagement. Information you share during these conversations is handled in accordance with our Privacy Policy.

6. Fees and Performance-Based Billing

Fees, payment terms, and the scope of any performance-based or outcome-based arrangement (including any "automate or you don't pay" commitment) are defined in the applicable Engagement Agreement. Marketing statements on our website describe our general approach and are not a guarantee of any specific result; the precise conditions, deliverables, and remedies for each engagement are set out in writing in the Engagement Agreement. Unless otherwise stated there, fees are exclusive of applicable taxes.

7. SMS Text Message Notifications

Install Agent offers an optional SMS notification program. By opting in, you consent to receive automated text messages from Install Agent, including reminders sent approximately 15 minutes before a scheduled meeting.

• Opt-in: SMS notifications are opt-in only. You may enroll when scheduling a meeting or through your account or communication preferences.
• Opt-out: To stop receiving messages at any time, reply STOP to any text from Install Agent. You will receive one confirmation message and no further messages will be sent.
• Help: Reply HELP for assistance or contact us at support@installagent.com.
• Message frequency: Frequency varies based on your scheduled meetings, typically one message per meeting.
• Rates: Message and data rates may apply. Check with your mobile carrier for details.
• Carriers are not liable for delayed or undelivered messages.

8. Client Responsibilities

If you engage Install Agent, you agree to:

• Provide accurate information and timely access to the systems, accounts, and personnel needed to deliver the Services
• Ensure you have the authority and any necessary consents to grant us access to your tools and data, including any personal information of your employees, customers, or other end users
• Use the Services and any AI outputs in compliance with applicable laws and the terms of any third-party platforms you connect
• Maintain the security of your own credentials and accounts

9. Third-Party Services and AI Providers

The Services integrate with and rely on third-party platforms and AI providers (for example, large-language-model providers, messaging platforms, calendar and CRM tools, and hosting and analytics vendors). Your use of those platforms is subject to their own terms and policies, and we are not responsible for their availability, changes, or actions. We may engage, replace, or discontinue third-party providers as needed to deliver the Services.

10. AI Outputs and No Professional Advice

Artificial intelligence is probabilistic and can produce inaccurate, incomplete, or unexpected results. You are responsible for reviewing AI outputs before relying on them, and you should maintain appropriate human oversight of automated workflows. The Services and any AI outputs are provided for general business operations and do not constitute legal, financial, accounting, medical, or other professional advice.

11. Acceptable Use

You agree not to:

• Use the Services for any unlawful, harmful, or fraudulent purpose
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems
• Use the Services to send unsolicited communications or spam, or to violate the rights of others
• Reverse engineer, decompile, or attempt to derive source code or underlying methodologies, except to the extent permitted by law
• Resell, sublicense, or provide the Services to third parties without our written consent

12. Intellectual Property

Install Agent and its licensors own all rights in the Services, including our software, platform, methodologies, templates, workflows, documentation, and brand assets. Subject to your Engagement Agreement, we grant you a limited, non-exclusive, non-transferable right to use the deliverables we provide for your internal business purposes. You retain ownership of your own data and content. Any feedback or suggestions you provide may be used by us without restriction or obligation.

13. Confidentiality

Each party may receive confidential information of the other. Each party agrees to protect the other's confidential information with reasonable care and to use it only as needed to exercise its rights and perform its obligations. More detailed confidentiality and data protection terms, where applicable, are set out in the Engagement Agreement.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. INSTALL AGENT DOES NOT WARRANT THAT THE SERVICES OR ANY AI OUTPUTS WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT THEY WILL ACHIEVE ANY PARTICULAR RESULT, EXCEPT AS EXPRESSLY STATED IN A SIGNED ENGAGEMENT AGREEMENT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSTALL AGENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING FROM OR RELATED TO THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNTS YOU PAID TO INSTALL AGENT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

16. Indemnification

You agree to indemnify and hold harmless Install Agent and its officers, employees, and contractors from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your misuse of the Services, your violation of these Terms, your violation of applicable law, or your failure to obtain any consents required for the data or systems you make available to us.

17. Term and Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services if you violate these Terms or if we discontinue the Services. Termination of a paid engagement is governed by the applicable Engagement Agreement. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

18. Changes to the Services and Terms

We may modify the Services or these Terms from time to time. If we make material changes to these Terms, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

19. Governing Law and Disputes

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Georgia, and you consent to the personal jurisdiction of those courts.

20. General

These Terms, together with any applicable Engagement Agreement and our Privacy Policy, are the entire agreement between you and Install Agent regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.
